Building material provider CRH has agreed to acquire Arcosa, a Texas-based provider of infrastructure-related aggregates, products and solutions, for roughly $8.5 billion.

CRH will pay $150 per share in cash for the publicly traded infrastructure company, representing a 25% premium on Arcosa’s 60-day trading volume-weighted average price.

The acquisition brings Arcosa’s Construction Product business platform, including 109 quarries and yards, nine asphalt plants, and 19 terminals, under CRH’s wing. This business segment shipped roughly 35 million tons of aggregates in 2025 and serves 13 of the 50 largest U.S. metropolitan statistical areas across Texas, New Jersey, Arizona, Florida and Tennessee.

CRH will also acquire Arcosa’s Engineered Structures business, described as a “top three manufacturer of critical infrastructure products” in the energy transmission market that benefits from long-term megatrends like data center construction.

“This strategic acquisition … advances our strategy to build an aggregates-led, connected portfolio,” said Jim Mintern, CRH CEO. “As demand for U.S. energy and utility infrastructure solutions accelerates, this transaction places CRH at the forefront of an immense growth opportunity.”

CRH said it will also benefit by widening its addressable market through deepened relationships and a shared customer base.

Both companies’ boards of directors have approved the transaction, which is expected to close in the first quarter of next year. CRH will fund the acquisition through available cash and committed debt financing.

Arcosa reported $2.9 billion in 2025 revenue, has almost 6,400 employees and has been in business for over 70 years. CRH has roughly 83,000 employees staffed across 4,000 locations and works with clients in transportation, water and reindustrialization projects.
